Anthropic has confidentially filed for an initial public offering (IPO) in the United States, aiming to strengthen its position in the artificial intelligence sector. The Claude maker's move follows its recent overtaking of OpenAI in private valuation, signaling a new phase in the competition between leading AI firms.
On June 1, Anthropic announced it had submitted a draft registration statement on Form S-1 to the US Securities and Exchange Commission (SEC). This confidential filing allows the company to prepare for a public listing while keeping key details private until regulators complete their review. The company has not disclosed the number of shares to be offered or the price range it will target.
Anthropic stated, "This gives us the option to go public after the SEC completes its review. The proposed initial public offering will depend on market conditions and other factors." The company emphasized that the announcement does not constitute an offer to sell securities, and any future offering will comply with US securities laws.
Reports indicate that Anthropic could target a valuation exceeding $1 trillion after its stock market debut. If achieved, this would place Anthropic among the world's most valuable publicly listed companies and mark a significant milestone for a startup founded only four years ago by former OpenAI employees.
Anthropic's confidential filing comes as investor interest in AI companies reaches record highs. The company recently surpassed OpenAI in private valuation, following a funding round that valued Anthropic at $965 billion. Multiple sources now describe Anthropic as the world's most valuable AI startup.
The confidential filing process allows Anthropic to address regulatory requirements privately before releasing detailed financial information. The company would need to publish its prospectus at least 15 days before starting a roadshow to market the offering to investors.
The decision to pursue an IPO comes as the AI sector faces increasing competition. Companies are racing to develop more advanced models and secure substantial funding for data centers, chips, and infrastructure. By filing first, Anthropic has moved ahead of OpenAI in the effort to reach public markets.
The rivalry between Anthropic and OpenAI has intensified in recent months. OpenAI, led by Sam Altman, is also expected to confidentially file for a US IPO in the coming weeks. The anticipated IPOs of both companies could lead to one of the most significant financial battles on Wall Street in recent years.
