Google Acquires De-Identified Spirit Airlines Enterprise Data in $10 Million Bankruptcy Auction
Google won a $10 million bankruptcy auction for defunct Spirit Airlines' enterprise data, acquiring over 100 million emails, 500 million Teams chats, and 30 million lines of code to train its AI models.

Google has secured a $10 million bid to acquire Spirit Airlines' internal business data and technology assets. The deal, part of a bankruptcy auction, will allow Google to use the data to train artificial intelligence models. The auction followed Spirit Airlines' bankruptcy filing in May. AI startup Mercor placed the second-highest bid at $7.5 million. The transaction awaits approval from a US bankruptcy judge, with a hearing scheduled for August 19. If the court does not approve Google's bid, Mercor will become the backup buyer.

Key Highlights

  • Google won a $10 million bid for Spirit Airlines' business data and technology assets.
  • Data includes over 100 million emails, 500 million Teams messages, and 7.5 billion transaction records.
  • All data will be de-identified before transfer to protect individual privacy.
  • The sale excludes passenger profiles and loyalty program records from Spirit Airlines.
  • Deal awaits approval from a US bankruptcy judge with a hearing set for August 19.

Details of the Data Acquisition

Google confirmed its intention to use the Spirit Airlines dataset to enhance its AI products. The company stated, "We acquired part of an enterprise dataset from Spirit Airlines, which can be helpful in improving our products and AI models." According to court documents, all data will be de-identified before transfer. This process ensures that no information can be linked to individual people. Google emphasized, "We will not receive any personal information from this dataset. Any data we receive will be rigorously scrubbed of any personally identifiable information by a third party before receipt."

The acquired data includes over 100 million employee emails and 500 million Microsoft Teams messages. It also covers spreadsheets, calendars, and other operational records. The dataset contains marketing materials, human resources records, strategy and project management files, financial databases, audit and fraud-related material, revenue data, aircraft operations records, and employee productivity information.

Scope and Exclusions of the Sale

Filings reveal the dataset also features pricing data for 7.2 billion competitor flights and about 7.5 billion passenger transaction records dating back to 2008. It includes pricing curve data, around 30 million lines of code, development metadata, software models and algorithms, and more than 175,000 employee records dating back to 1986.

The sale does not include personal data or privileged materials. Excluded items are Spirit Airlines' 97.5 million passenger profiles and an estimated 50.2 million records linked to the Free Spirit loyalty program. The data transfer will not contain any information that could identify individuals.

Background on Spirit Airlines Bankruptcy

Spirit Airlines ceased operations on May 2 after entering its second Chapter 11 bankruptcy in two years. The low-cost carrier faced mounting debt totaling about $8.1 billion. The shutdown resulted in the layoff of approximately 17,000 employees. The auction of assets, including data and technology, followed the airline's closure.
