Musk alleges that Altman and Brockman benefited financially when OpenAI shifted from a nonprofit to a for-profit public benefit corporation. He claims Brockman received tens of billions in stock and that Altman arranged multiple side deals for personal profit. Musk asserts that these actions betrayed the original mission of OpenAI, which he helped fund and establish as a nonprofit for public benefit.
In his post, Musk stated, “Scam Altman and Greg Stockman stole a charity. Full stop. Greg got tens of billions of stock for himself and Scam got dozens of OpenAI side deals with a piece of the action for himself, Y Combinator style. After this lawsuit, Scam will also be awarded tens of billions in stock directly.”
Musk argues that allowing a nonprofit to convert to a profit-driven company could set a dangerous legal precedent in the United States. He warns this could undermine public trust in charitable organizations and discourage future charitable giving.
OpenAI has dismissed Musk’s claims as baseless. In a statement, OpenAI said the lawsuit is motivated by rivalry and an attempt to hinder a competitor. OpenAI stated, “We can't wait to make our case in court where both the truth and the law are on our side. This lawsuit has always been a baseless and jealous bid to derail a competitor.”
The trial will examine OpenAI’s structure, funding, and partnerships, including its relationship with Microsoft. The outcome could influence the future governance of artificial intelligence, a field with significant economic and social impact.
Musk claims he was excluded from key decisions while his name and funding were used to build a profit-oriented venture. He seeks damages and wants OpenAI to return to nonprofit status. Musk also calls for the removal of Altman and Brockman from leadership roles.
OpenAI contends that Musk’s actions are intended to slow its progress and promote his own AI company, xAI, launched in 2023.
The legal dispute highlights growing tensions in the AI sector over control, ethics, and profit. The case could set important precedents for how nonprofit technology organizations evolve and operate in the United States.
